GENERAL TERMS AND CONDITIONS OF FRISS OUTDOOR B.V.<\/strong><\/p>

1. Definitions<\/strong>
1.1. FRISS Outdoor B.V.: The company manufacturing and selling high-quality, handcrafted outdoor luxury showers, registered under KVK: 96280522.
1.2. Customer: Any natural or legal person who enters into an agreement with FRISS Outdoor B.V.
1.3. Agreement: Any contract, order, or purchase between FRISS Outdoor B.V. and the Customer.
1.4. Product: Any outdoor shower or related item sold by FRISS Outdoor B.V.<\/p>

2. Applicability<\/strong>
2.1. These terms and conditions apply to all agreements, offers, and sales by FRISS Outdoor B.V. unless explicitly agreed otherwise in writing.
2.2. Any conflicting terms from the Customer are not accepted unless explicitly agreed in writing.<\/p>

3. Offers and Orders<\/strong>
3.1. All offers by FRISS Outdoor B.V. are non-binding unless explicitly stated otherwise.
3.2. An agreement is only concluded when FRISS Outdoor B.V. confirms the order in writing or when FRISS Outdoor B.V. commences execution of the order.
3.3. FRISS Outdoor B.V. reserves the right to refuse orders without stating reasons.<\/p>

4. Pricing and Payment<\/strong>
4.1. All prices are in EUR and exclusive of VAT, shipping, and installation costs unless stated otherwise.
4.2. Payment must be made 100% in advance unless otherwise agreed.
4.3. In case of late payment, FRISS Outdoor B.V. is entitled to charge statutory interest and collection costs.<\/p>

5. Delivery and Risk Transfer<\/strong>
5.1. Delivery time is approximately 6 weeks after receipt of payment.
5.2. The risk of the Product passes to the Customer upon delivery.
5.3. If the Customer refuses or delays delivery, FRISS Outdoor B.V. is entitled to charge storage fees.<\/p>

6. Installation and Requirements<\/strong>
6.1. Installation services are only included if explicitly mentioned on the invoice.
6.2. The installation site must be prepared according to FRISS Outdoor B.V.\u2019s requirements:<\/p>

  • The connections must be at the correct dimensions, level, and clean.<\/p><\/li>

  • The following installations must be pre-prepared:<\/p>

    • Upanor (insulated) 16mm cold, approx. 30cm above ground level, capped at the desired installation location.<\/p><\/li>

    • Upanor (insulated) 16mm hot, approx. 30cm above ground level, capped at the desired installation location.<\/p><\/li>

    • Ground cable (3-wire) connected to an earth leakage switch, 2.5mm\u00b2 220v, approx. 30cm above ground level.
      6.3. For drainage: In sandy soil, a 40cm deep gravel pit is sufficient. For a 50mm HWA connection, the customer must complete the connection after installation.
      6.4. The Customer must provide free access to scaffolding, cranes, lifts, and electricity for vertical transport and installation.
      6.5. If these facilities are not available at the required time, FRISS Outdoor B.V. can arrange them at an additional cost.<\/p><\/li><\/ul><\/li><\/ul>

      7. Warranty and Complaints<\/strong>
      7.1. FRISS Outdoor B.V. provides the following warranty:<\/p>

      • 5 years on construction<\/p><\/li>

      • 5 years on surface treatment (declining)<\/p><\/li>

      • 2 years on electrical components, plumbing, and faucets
        7.2. The warranty does not cover:<\/p><\/li>

      • Normal wear and tear, misuse, extreme weather damage, or damage due to water quality.
        7.3. Complaints must be reported in writing within [Number] days of discovery.
        7.4. If a defect is covered under warranty, FRISS Outdoor B.V. will repair or replace the Product at its discretion.<\/p><\/li><\/ul>

        8. Retention of Title<\/strong>
        8.1. All Products remain the property of FRISS Outdoor B.V. until full payment has been received.
        8.2. The Customer is not entitled to resell, pledge, or otherwise encumber unpaid Products.<\/p>

        9. Force Majeure<\/strong>
        9.1. FRISS Outdoor B.V. is not liable for non-fulfillment due to force majeure, including but not limited to natural disasters, strikes, or government actions.
        9.2. In case of force majeure, FRISS Outdoor B.V. is entitled to suspend or dissolve the agreement without any liability for damages.<\/p>

        10. Governing Law and Disputes<\/strong>
        10.1. These terms and conditions are governed by the laws of the Netherlands.
        10.2. Disputes will be submitted to the competent court in [Jurisdiction].<\/p>

        11. Final Provisions<\/strong>
        11.1. If any provision of these terms is found to be invalid, the remaining provisions remain in full force.
